1. Introduction
These Terms and Conditions govern your access to and use of the services provided by SOLIDUS AI TECH INC., a corporation duly incorporated under the laws of Panama, with registration number 155776555, having its registered address at PH The Century Tower, Office 317, Vía Ricardo J. Alfaro, Corregimiento de Betania, Distrito de Panamá, Panama City, Panama, and operating commercially under the trading name "AITECH CLOUD NETWORK" ("ACN", "we", "us", or "our"). Any references to “AITECH”, “AI Tech”, or similar terminology shall be understood as legacy references to the AITECH Cloud Network where applicable.
These Terms apply to all products, services, and features made available within the AITECH Cloud Network ecosystem, including but not limited to the ACN Compute Layer, GPU Rental, CDC Marketplace Payments, GPU Staking, Compute Discount Certificates (CDC), ACN Agent Forge Orchestration Layer (including ACN Agent Forge and ACN Agent Forge Staking), Community Staking, DAO Governance, and the $ACN token (formerly $AITECH during the migration period) (collectively, the “Services”).
SOLIDUS AI TECH INC. forms part of the AITECH Cloud Network ("ACN") ecosytem and group structure, which includes AITECH Cloud Network Foundation as the parent ecosystem entity supporting strategic growth, ecosystem coordination, governance initiatives, and affiliated group activities, together with affiliated entities, divisions, and operating units, including Solidus AI Tech Digital (operating within the AITECH Cloud Network ecosystem) as the technology development and operating entity for designated platforms, infrastructure, and enterprise technology services.
For the purposes of these Terms, ACN Labs (formerly known as AITECH Labs) refers to the research, development, and innovation division of the AITECH Cloud Network, responsible for the design, testing, and development of artificial intelligence technologies, infrastructure components, and related tools that may support the Services.
ACN Labs operates as an internal division or affiliated function and does not independently provide regulated services, financial services, or user-facing contractual services unless expressly stated.
By accessing or using any of these Services or the AITECH Cloud Network platform (“ACN Platform”), you agree to be bound by these Terms and Conditions and all applicable supporting policies:

If you do not agree with these Terms, please do not use our Services.
2. Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts. By using our Services, you represent and guarantee that you meet these eligibility requirements.
3. Account Registration
Some Services may require registration. You agree to:
Provide accurate, current, and complete information
Maintain the confidentiality of login credentials
Immediately notify us of any unauthorized use
We reserve the right to suspend or terminate accounts violating these Terms.
4. Description of Services
ACN Compute Layer, GPU Rental, and CDC Marketplace Payments: $ACN can be used to pay for GPU processing power and purchase of CDCs on the marketplace within the AITECH Cloud Network. Compute Discount Certificates (CDC) can be represented in a form of utility-based non-fungible tokens (NFTs) that may provide discounts on compute services within the ACN Compute Layer CDC Marketplace.
GPU Staking: Allow $ACN token holders to lock tokens for defined periods in order to support participation within the AITECH Cloud Network (“ACN”) ecosystem. Staking does not constitute an investment and does not confer ownership, profit rights, or any entitlement to financial return.
Compute Discount Certificates (CDC): Utility-based non-fungible tokens (NFTs) that may provide discounts on compute services within the ACN Compute Layer CDC Marketplace.
ACN Agent Forge Orchestration Layer (including ACN Agent Forge and ACN Agent Forge Staking): ACN Agent Forge Orchestration Layer is an automated AI agents platform where users can design, deploy, and use agentic workflows. Agent Forge is a no-code agent orchestration platform that enables users to design, deploy, and manage AI-driven workflows. It allows teams to automate complex, multi-step processes across internal systems, external APIs, and data sources, reducing operational overhead while maintaining control and visibility. ACN Agent Forge Staking introduces a tiered staking model designed to align platform access with ecosystem commitment and ensure sustainable resource allocation.
Community Staking: The Community Staking Pool allows $ACN holders to lock tokens for a defined period to support participation in the ACN ecosystem. Participants may become eligible for ecosystem incentives distributed in $ACN tokens, which are variable, conditional, and not guaranteed. Staking does not constitute an investment and does not confer ownership, profit rights, or any entitlement to financial return.
DAO Governance: $ACN may be used in future governance modules or community voting mechanisms, depending on platform evolution.
$ACN Token: Serves as the utility token for accessing, interacting with, and utilizing services within the AITECH Cloud Network platform (“ACN Platform”).
Certain Services, features, token functions, infrastructure components, or technology offerings may be operated, developed, licensed, supported, or administered by different entities within the AITECH Cloud Network group depending on the nature of the service, jurisdiction, and applicable legal requirements.
Some components of the Services, including AI-related tools, models, and infrastructure (such as Agent Forge), may be developed, tested, or maintained by ACN Labs. Such components may be experimental or evolving in nature and are provided subject to ongoing technical validation, regulatory review, and operational assessment.
All Services are governed by the Acceptable Use Policy and applicable documentation.
The Services facilitate interactions with protocols that enable individuals, inter alia, to purchase, trade, rent, and sell hosted GPU resources and AI models within the AITECH Cloud Network platform (“ACN Platform”).
You may participate in the Services by linking your digital wallet(s) on third-party supported bridge extensions, which allows you to purchase, store, and engage in transactions using cryptocurrency. Before interacting with the Services via the platform, we will ask you to download a supported electronic wallet extension and connect and unlock your digital wallets with that extension. Once you submit a request to sell or purchase any of the offered Services, your order is passed on to the applicable extension, which can complete the transaction on your behalf.
WE ARE NOT A BROKER, EXCHANGE, FINANCIAL INSTITUTION, OR CREDITOR. THE SERVICES ARE AN ADMINISTRATIVE PLATFORM ONLY. WE ARE NOT A PARTY TO ANY AGREEMENT BETWEEN THE PURCHASER AND SELLER OF THE SERVICES OR BETWEEN ANY USERS.
YOU BEAR FULL RESPONSIBILITY FOR VERIFYING THE IDENTITY, LEGITIMACY, AND AUTHENTICITY OF ASSETS YOU PURCHASE, RENT OR UTILIZE VIA THE SERVICES AND THE PLATFORM. NOTWITHSTANDING INDICATORS AND MESSAGES THAT SUGGEST VERIFICATION, WE MAKE NO CLAIMS ABOUT THE IDENTITY, LEGITIMACY, OR AUTHENTICITY OF ASSETS ON THE PLATFORM OR VIA THE SERVICES.
Transactions executed via the Services are conducted on the blockchain. While we offer a marketplace for the Services, we do not buy, sell, or take custody or possession of any of the Services, nor do we act as an agent or custodian for any user. Each Service listed for sale, rent, or utilization is independently offered via the platform and released automatically upon consummation of its agreement.
You will be required to make or receive payments exclusively through the cryptocurrency wallet you have connected to the AITECH Cloud Network platform or via fiat. We will have no insight into or control over these payments or transactions, nor the ability to reverse any transactions. Accordingly, we will have no liability to you or to any third party for any claims or damages arising as a result of any transactions you engage in via the Services.
Your participation in certain programs (e.g., promotions, sweepstakes, giveaways, rewards programs, debit cards, etc.) made available through the AITECH Cloud Network platform will be subject to additional terms and conditions specific to such programs.
5. Acceptable Use
You must not:
Use Services for illegal, unethical, or harmful activities, or for any activities not in line with the intended aim of the platform
Infringe upon intellectual property or data protection laws
Circumvent or disrupt our systems
Access or utilize the Site and/or Services for the purpose of web crawling, web harvesting, data mining, data extraction, scraping, or aggregating information without our prior written consent
Use any AI system hosted on this platform for:
Surveillance or biometric identification without legal basis
Manipulative or deceptive practices (e.g., deepfakes, disinformation)
Applications that violate human rights, safety standards, or national laws
All usage must comply with our Acceptable Use Policy, Privacy Policy, Cookie Notice, and Unclaimed Tokens Policy.
6. Privacy and Data Processing
Your personal data may be collected, processed, stored, or shared by relevant entities within the AITECH Cloud Network group where necessary for service delivery, compliance, fraud prevention, customer support, security, or legitimate operational purposes, in accordance with the Privacy Policy and applicable law.

7. Use of AI and Automated Systems
AI systems and tools made available through the Services may be developed or supported by ACN Labs. These systems may involve ongoing research, testing, and iterative development and may not be fully optimized, error-free, or suitable for all use cases.
Services like Agent Forge include AI-generated outputs. By using them, you acknowledge:
Outputs may be inaccurate or non-human in origin
Disclaimers are provided in line with EU AI Act transparency guidelines
Human oversight is encouraged for critical decisions

We assume no liability for the use, misuse, or outcomes of any AI models hosted on the platform. Users and deployers assume all risks associated with such use.
8. Vesting Terms
Tokens allocated under vesting schedules (including team, advisor, and investor allocations) are subject to lock-up and release periods as defined in the respective token agreements. The Company may enforce transfer restrictions through smart contracts or administrative controls. Users must comply with all vesting conditions before transferring or using vested tokens.
9. Coin Burn Conditions
The Company may initiate coin burns to permanently remove $ACN tokens from circulation. Burns may occur due to unclaimed tokens, revenue-based thresholds, or project milestones. All burns will be publicly disclosed and verifiable on the blockchain.
10. Claim Portal Terms for Unclaimed Tokens or Rewards
10.1. Claim Period
Users are responsible for claiming their tokens within ninety (90) days following conclusion of the applicable vesting period. Tokens that remain unclaimed after this period may be deemed expired and forfeited.
10.2. Reallocation of Unclaimed Tokens or Rewards
The Company reserves the right to reclaim and reallocate any unclaimed tokens for purposes including, but not limited to, project development, ecosystem growth, community initiatives, or token burn.
10.3. Closure of Claim Portal
Upon the completion of all vesting rounds, the Company reserves the right to terminate or deactivate the Claim Portal with a minimum of thirty (30) days prior notice.
10.4. Method of Notification
Users will receive system-generated notices via the platform or through a registered email prior to claim expiration or claim portal closure, consistent with EU MiCA's transparency standards.

11. Token Migration (AITECH → ACN) – Time-Limited Rights and Mandatory Acknowledgment
11.1. Migration Overview
The Company may facilitate a migration of AITECH tokens to ACN tokens as a technical ecosystem process. This does not constitute an offer, solicitation, or financial product.
11.2. Migration Window
The migration shall be available strictly for thirty (30) calendar days from the officially announced start date.
11.3. Expiry and Forfeiture
Failure to complete migration within the Migration Window results in permanent loss of the right to migrate tokens.
11.4. No Extensions
No extensions, exceptions, or grace periods shall be granted under any circumstances.
11.5. Mandatory Acknowledgment
Users must accept migration terms via click-through agreement and acknowledgment before participating.
11.6. User Responsibility
Users are solely responsible for completing migration steps correctly and on time.
11.7. Third-Party Dependencies
The Company is not liable for failures caused by wallets, exchanges, or blockchain networks.
11.8. Finality
All migration transactions are final and irreversible.
11.9. No Financial Advice
Migration does not constitute financial advice or guarantee of value.
12. Intellectual Property
All content, software, and tools provided by SOLIDUS AI TECH INC. are protected by intellectual property laws. You are granted a non-exclusive, non-transferable, revocable license for personal or internal business use only.
13. Availability and Modifications
We do not guarantee uninterrupted availability. We may change, suspend, or discontinue features or amend these Terms at any time. Material changes will be communicated through our platform or via email where applicable.
If you continue to use the Services after updated Terms have been posted, you accept and agree to the changes. If you don't agree to be bound by the changes, you may not use the Services anymore.
14. Disclaimers
THE SERVICES, INCLUDING ANY USED SOFTWARE, PROMOTIONS TOOL, ANY CONTENT CONTAINED THEREIN, AND ANY SERVICES LISTED THEREIN ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE (AND OUR SUPPLIERS) MAKE NO WARRANTY THAT THE SERVICES: (I) WILL MEET YOUR REQUIREMENTS; (II) WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS; OR (III) WILL BE ACCURATE, RELIABLE, COMPLETE, LEGAL, OR SAFE.
We further expressly disclaim all liability or responsibility in connection with third-party services. Nothing herein constitutes our endorsement, recommendation, or affiliation with any third-party services.
We do not represent or warrant that any content on the Services is accurate, complete, reliable, current, or error-free. We cannot guarantee the security of any data you disclose online. You accept the inherent security risks of providing information and dealing online over the internet.
We will not be responsible or liable to you for any loss arising from:
User error such as forgotten passwords, incorrectly constructed transactions, or mistyped wallet addresses
Server failure or data loss
Blockchain networks, cryptocurrency wallets, or corrupt files
Unauthorized access to Services
Any third-party activities, including without limitation the use of viruses, phishing, bruteforcing, or other means of attack
EU AI Act Notice
In accordance with the EU Artificial Intelligence Act, we inform you that:
Some AI models or tools available on this platform may involve Limited or High-Risk applications, depending on how and where they are used
You are responsible for evaluating the intended use and compliance obligations of any AI system you access or deploy
No AI model hosted here should be used in prohibited or non-compliant applications, including those that may negatively impact individual rights, safety, or legal obligations without proper review
Content and models are provided "as-is" without warranties or guarantees regarding their ethical or regulatory suitability for specific deployments
To the maximum extent permitted by law, any technologies, tools, or outputs developed or supported by ACN Labs are provided on an "as-is" and "as-available" basis
We strongly encourage users to:
Perform due diligence before using or adapting any AI system
Label and disclose AI-generated content where applicable
Follow applicable data protection, copyright, and regulatory frameworks, including the EU AI Act, GDPR, and domestic and international laws
Seek expert or legal advice when deploying AI in regulated sectors (e.g., healthcare, finance, employment, biometric identification)
By accessing, downloading, and using this platform, you acknowledge the context-dependent nature of AI risk classification and accept full responsibility for ensuring ethical and lawful use of any AI resources hosted here.
15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER US NOR OUR SERVICE PROVIDERS WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOST PROFITS, LOST REVENUES, LOST SAVINGS, LOST BUSINESS OPPORTUNITY, LOSS OF DATA OR GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE OR THE COST OF SUBSTITUTE SERVICES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE AGGREGATE TOTAL LIABILITY OF US AND OUR AGENTS, REPRESENTATIVES, AND AFFILIATES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS EXCEED THE AMOUNTS YOU HAVE PAID TO US FOR USE OF THE SERVICES OR ONE HUNDRED U.S. DOLLARS ($100), IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATIONS TO SOLIDUS, AS APPLICABLE.
References to affiliated entities or group companies in these Terms do not create joint, several, or collective liability among all entities solely by reason of common ownership, branding, or group association, unless expressly required by applicable law.
16. Security and Breach Notification
We implement technical and organizational safeguards to protect your data. In the event of a breach, we follow our Data Breach Notification Policy to notify affected parties as required by law.
We reserve the right, but are not obligated, to remove or disable access to any content at any time and without notice, including if we consider it objectionable or in violation of these Terms. We may also consult and cooperate with law enforcement authorities to prosecute users who violate the law.
Listing illegally obtained assets may result in your listings being canceled, your assets being hidden, or you being suspended from the Services. If you have reason to believe that an asset listed on the Service was illegally obtained, please contact us immediately.
17. Termination
We may suspend or terminate your access to the Services at any time as required by applicable laws, any government authority, or if we determine at our sole and reasonable discretion that you are violating these Terms.
Such suspension or termination shall not constitute a breach of these Terms by us. In accordance with our anti-money laundering, anti-terrorism, anti-fraud, and other compliance policies, we may impose reasonable limitations and controls on your ability to utilize the Services, including rejecting transaction requests, freezing funds, or otherwise restricting access where good cause exists.

18. Governing Law and Jurisdiction
These Terms & Conditions are governed by the laws of the United Kingdom. Disputes will be resolved in the courts of that jurisdiction, unless otherwise mandated by law.
