# Claim Portal  Terms and Conditions for Unclaimed Tokens or Rewards

**1. Scope and Applicability**

These Terms and Conditions (“Terms”) apply to all eligible users of services made available within the AITECH Cloud Network (“ACN”) ecosystem and group structure. Such services may be provided by SOLIDUS AI TECH INC., operating under the trade name “**AITECH Cloud Network**” (“ACN”, “Company”, “we”, “us”, or “our”), together with relevant affiliated entities, including the AITECH Cloud Network Foundation and Solidus AI Tech Digital, as applicable based on the nature of the service, token-related function, claim administration process, or platform operations.

These Terms govern tokens or rewards distributed through vesting programs or other participation-based mechanisms made available on the AITECH Cloud Network platform (“ACN Platform”). Any references to “AITECH”, “AI Tech”, or similar terminology shall be interpreted as legacy references to the AITECH Cloud Network where applicable.

These Terms apply only to tokens or rewards distributed after the effective date specified above. Any prior distributions shall remain governed by the terms and conditions applicable at the time of issuance.

**2. Claim Period for Tokens or Rewards**

**2.1. Claim Period:** Users are responsible for claiming their  tokens within ninety (90) days period  following conclusion of the applicable vesting period. Tokens that remain unclaimed after this period may be deemed expired and forfeited.

**2.2. Reallocation of Unclaimed Tokens or Rewards:** The Company reserves the right to reclaim and reallocate any unclaimed tokens for purposes including, but not limited to, project development, ecosystem growth, community initiatives or for token burn. Reallocation, administrative handling, token burn processes, or claim portal management may be undertaken by the relevant entity within the AITECH Cloud Network (ACN) group, subject to applicable law and operational requirements.

**2.3. Closure of Claim Portal:** Upon the completion of all vesting rounds, the Company reserves the right to terminate or deactivate the Claim Portal with a minimum of thirty (30) days prior notice.

**2.4. Method of Notification:** Users will receive system-generated notices via the platform or through a user registered email prior to claim expiration or claim portal closure, consistent with the EU MiCA’s transparency standards.

**3. MiCA Compliance and Equal Treatment**

**3.1.** The relevant entity within the AITECH Cloud Network (ACN) group seeks to align applicable token claim processes with principles of transparency, fairness, and equal treatment, subject to applicable law (e.g., EU MiCA), consumer protection provisions, including:

•  Transparent and pre-disclosed conditions for claiming tokens;

•  Equal treatment of all users, without discrimination based on nationality or residence, except where restricted by applicable law;

•  No retroactive application of new policies to tokens previously distributed.

**3.2.** These terms are disclosed before user participation in vesting period.

**4. Handling Claims in Case of Deceased Users**

**4.1.** In the event of a user’s death, legal heirs or estate representatives may submit a claim for the unclaimed tokens or rewards. The following documents must be submitted:

•  A certified copy of the death certificate of the user;

•  Proof of legal authority, such as a court-issued probate order or certificate of inheritance;

•  A valid government-issued ID of the claimant;

•  Any other documentation reasonably requested by AITECH Cloud Network (ACN) for verification.

**4.2.** All personal data submitted for this purpose shall be processed in accordance with the General Data Protection Regulation (GDPR) under the lawful bases of:

•  Article 6(1)(c) – legal obligation; and

• Article 6(1)(f) – legitimate interest of the platform to verify rightful heirs.

**4.3.** Data collected for these claims shall be retained for a maximum of five (5) years unless a longer period is required by law, after which it shall be securely deleted. In some cases, certain data may be retained beyond the standard five (5) year period if required by applicable financial regulations, fraud investigations, or law enforcement subpoenas.

**4.4.** If no valid claim is submitted within twelve (12) months from the date of the user's death, Solidus AI Tech reserves the right to process and handle the unclaimed tokens in accordance with Clause 2.2 above.

**4.5.** Legal heirs may request access to, rectification, or deletion of their submitted data in accordance with GDPR Articles 15–22 by contacting <admin@aitech.io>.

**5. Law Enforcement and Legal Proceedings**

**5.1.** AITECH Cloud Network (ACN) may freeze, delay, or deny any token or reward claim under the following conditions:

• Receipt of a valid court order, subpoena, or law enforcement request;

• Reasonable suspicion of fraud, financial crime, sanctions evasion, or other unlawful activity.

**5.2.** In such cases, AITECH Cloud Network (ACN) may:

• Cooperate with law enforcement and regulatory agencies, and

• Delay disbursement of tokens until the matter is resolved.

**6. AML and Sanctions Compliance**

**6.1.** All claimants, including heirs, will be screened against applicable sanctions lists and anti-money laundering (AML) databases (e.g., EU, UN, OFAC, FATF lists). Claims submitted by sanctioned individuals or entities will be lawfully denied.

**6.2.** Screening may be conducted by the applicable group entity or authorized compliance service providers acting on its behalf.

**7. User Responsibilities and Awareness**

Users are responsible for:

• Monitoring their account activity, claimable balances, and deadlines;

• Maintaining up-to-date contact and wallet information;

• Notifying estate administrators of their digital assets held on the platform.

**8. Dispute Resolution and Appeals**

**8.1.** Users who fail to claim tokens within the designated timeframe due to force majeure (e.g., medical emergencies, technical failure) may request a discretionary review within 30 days after the expiration of the claim period.

**8.2.** Final decisions rest with the relevant entity or authorized internal review body within the AITECH Cloud Network (ACN) group will be made in accordance with fairness, internal compliance standards, and regulatory guidance.

**9. Modifications and Updates**

AITECH Cloud Network (ACN) reserves the right to update or amend these Terms and Conditions at any time. Notice of such updates will be posted on the platform. Continued use of the platform after such modifications constitutes acceptance of the revised terms.

**12. Governing law and Jurisdiction**

These Terms and Conditions shall be governed by and construed in accordance with the laws of **United Kingdom**, without regard to conflict of laws principles. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in United Kingdom.
